Under the 2026 Franchise Disclosure Document, a U.S. Hotel Indigo licensee operates one site-specific upper-upscale hotel that sells rooms, locally influenced restaurant and bar service, and meeting or event capacity. Demand enters through IHG-controlled reservation, loyalty, voice, travel-distribution and sales channels; the franchisee or an approved management company runs the property under mandatory Brand System standards.

Operating-model answer

Hotel Indigo combines centralized distribution and operating controls with local hotel execution. Holiday Hospitality Franchising, LLC and Six Continents Hotels, Inc. provide or control the brand, digital channels, IHG One Rewards, reservation infrastructure, technology requirements and quality processes. The licensee controls employment, on-property service delivery, approved local marketing and the room rates it establishes.

Data basis. Holiday Hospitality Franchising, LLC (“Holiday”) is the legal franchisor; Six Continents Hotels, Inc. (“SCH”) is its direct parent; InterContinental Hotels Group PLC is the ultimate parent. The April 2, 2026 FDD covers New Development, Conversion, Change of Ownership and Re-Licensing at one licensed site.

Offering and demand

What does a Hotel Indigo franchisee sell, and who buys it?

The licensed business is an upper-upscale hotel, not a room-only unit. A typical Hotel Indigo has 100 to 200 guestrooms, a locally influenced breakfast-and-dinner restaurant, full bar, fitness facilities and meeting space; the approved room count and facilities remain property-specific.

Rooms and stays

Leisure and business travelers book through IHG.com, the IHG app, Voice, GDS, OTAs, Global Sales Offices, Direct Connect or the hotel.

Food and beverage

Hotel guests and local patrons buy restaurant and bar service. Neighborhood influence does not displace Brand System product, beverage-program, POS-integration or F&B standards.

Groups and events

Meeting planners, companies and social groups request proposals, reserve event space and book room blocks through the Hotel Indigo Groups & Events page or hotel sales team.

The Hotel Indigo brand page connects rooms, dining and meetings. IHG One Rewards supplies loyalty demand; IHG Business Rewards serves third-party bookers.

How does work move through a Hotel Indigo hotel?

The operating cycle starts with centrally and locally generated demand, moves through reservation and rate inventory, becomes an on-property stay or event, and ends with payment, guest recovery, reporting and quality review. Different actors and systems control each handoff.

Operating implication

Central channels can create a confirmed booking, but they do not fulfill it. The property management team must align room availability, housekeeping readiness, maintenance status, restaurant capacity, group commitments and payment capability before the customer promise can be completed. A failure at any on-property handoff can trigger service recovery and quality review even when the reservation originated outside the hotel. Daily coordination, not reservation generation alone, is therefore the licensee’s central operating task.

Owner participation

The FDD does not call Hotel Indigo absentee or semi-absentee. The approved licensee or a Holiday-approved management company must exercise direct management control. Which systems and suppliers are mandatory?

Brand System requirements cover reservations, front office, payments, connectivity, F&B, safety and procurement. Standards apply to an estimated 90% to 95% of purchases and leases; non-approved sources generally need advance written approval.

Approved vendors control primary signage, bulk bath amenities and brackets, Cintas Uniform Collection garments or other mandated uniforms, and Employee Safety Devices. Safety devices also require periodic testing.

U.S. hotels generally join the IHG Coca-Cola Beverage Program with The Coca-Cola Company. IHG World Class Beverage Program requirements apply to F&B venues; any waiver or third-party restaurant exception must be documented.

Technology requirement

What does the franchisor control, and what remains with the franchisee?

Holiday controls the branded framework and compliance; the licensee controls employment and daily execution. Property decisions remain subject to the License, Standards, approved systems, supplier rules and quality requirements.

The License requires 24-hour daily operation under the Standards. Location and distribution

How do territory and digital-channel rules work?

The default grant is a site-specific license for one Hotel, not an exclusive market. Holiday and its affiliates may license, own or manage competing hotels and may use any distribution channel to solicit customers, including customers in the hotel’s area, without compensation to the licensee.

A protected area exists only by a special Holiday grant; the License still covers one site and one Hotel. No default right of first refusal or conflict process protects the licensee from other IHG properties.

Holiday controls Digital Marketing and the IHG Portfolio Brand website. An independent site needs advance approval, must follow digital Standards and cannot use Brand System Marks in its domain. The central path remains the official Hotel Indigo reservation site.

What does Item 20 show about the U.S. network?

Item 20 reports no company-owned U.S. outlets. Licensed outlets rose from 68 in 2023 to 70 in 2024 and 74 in 2025; five 2025 hotels were Holiday-affiliate managed but counted as licensed.

The U.S. footprint added six year-end outlets while company-owned remained zero. “Licensed” includes affiliate-managed hotels.

Table 3 reports four 2025 openings and no terminations. At December 31, 2025, Item 20 listed 17 signed-not-open hotels and three projected new licensed or managed hotels for the next fiscal year. These are system-movement counts, not property performance.

The final License, Attachment A, Standards and approved management structure determine property-specific operations. The transaction documents should resolve these points.
