TOTAL:

A CertaPro Painters® franchise is a locally managed painting contractor that sells residential projects inside an assigned Territory and, after separate qualification, may pursue Commercial Services. The franchisee controls local execution and collections, while Certa ProPainters, Ltd. controls the brand, required systems, operating standards, supplier approvals, data access, and major channel rules.

Data basis: Certa ProPainters, Ltd., 2026 Franchise Disclosure Document issued March 23, 2026; Items 1, 6, 8, 11, 12, 15, 16, 19, and 20; Franchise Agreement; Operations Manual topics; CertaOne User Agreement; and Commercial Services Addendum. Offering and demand

What does a CertaPro Painters franchise sell, and who buys it?

The base franchise sells defined interior and exterior Residential Services to customers in one- to four-unit dwellings and specified residential units inside its Territory. A qualified franchisee may add Commercial Services for business and institutional properties, while National Accounts remain centrally controlled.

Residential Services

The residential unit scopes, estimates, schedules, and fulfills approved painting and decorating projects for eligible residential customers. Official consumer pages describe interior and exterior painting, cabinet painting, drywall repair, wallpaper removal, staining, and related preparation.

Homeowners Interior projects Exterior projects

Commercial Services

Commercial Services require the Commercial Services Addendum, Commercial Training, certification, and separate bidding and reporting controls. Customers include property managers, offices, retail, warehouses, hospitality, health-care, education, and multi-location accounts described on the official commercial services page.

Property managers Business facilities National Accounts

Demand can enter through the online estimate request, the designated answering service, local advertising, referrals, repeat customers, approved digital programs, and permitted commercial prospecting. The form captures residential or commercial scope, interior or exterior work, appointment requests, and photos. Commercial media and National Account solicitation remain under stronger franchisor control.

Customer-to-completion flow

Workflow control

The franchisee is responsible for delivery quality even when a subcontractor performs the painting. The Franchise Agreement requires subcontractors to comply with System standards and maintain required insurance, while the franchisee remains responsible for customer commitments, warranty work, legal classification, and records.

Evidence: 2026 FDD, Items 8 and 11; Franchise Agreement §§2.4, 6.2.8, 6.7, 12.2–12.4, and 13.4; Operations Manual topics in Exhibit G; official residential project process.

People and accountability

What must the owner do, and who performs the painting?

This is not disclosed as an absentee model. A person who completed required training and the Forum Program must devote full time and effort to the CertaPro Business; painters may be employees or third-party subcontractors, but local supervision and compliance remain the franchisee’s responsibility.

Item 15 and Franchise Agreement §6.2.9 require a trained full-time operator. A General Manager, chief operating officer, vice president of operations, or similar operating leader must hold an ownership interest. The FDD does not prescribe crew size, office headcount, shifts, or an employee-to-subcontractor ratio.

The franchisee selects employee or independent-contractor labor, subject to law and CertaPro requirements. Sales, production, and office functions may support the unit, but the FDD does not mandate headcounts. The trained operator remains accountable for estimates, scheduling, customer communication, crew performance, billing, collections, and reporting.

Owner participation

“Manager-run” is possible only within the disclosed ownership and training rules. Installing a non-owner general manager does not satisfy the agreement language for senior operating management, and the FDD does not authorize passive or absentee ownership.

Evidence: 2026 FDD, Item 15, p. 28; Item 19, p. 36; Franchise Agreement §§6.2.8–6.2.14. The official franchise FAQ describes ownership as managing the business and building a team rather than requiring the owner personally to paint.

Responsibility map

Which operating functions belong to the franchisee, the franchisor, and third parties?

The franchisee owns local execution and customer accountability; Certa ProPainters, Ltd. supplies and controls the operating framework; designated and approved third parties provide software, answering, paint, marketing, financing, insurance, and production inputs.

Franchisee

  • Generate permitted local demand and respond to leads.
  • Estimate, contract, schedule, staff, and supervise jobs.
  • Select employee or compliant subcontractor labor.
  • Invoice, collect, keep records, and report Gross Sales.
  • Maintain licenses, insurance, safety, and warranty service.

CertaPro

  • License the marks, System, Operations Manual, and Territory.
  • Specify CertaOne, technology, products, vehicles, and presentation standards.
  • Approve suppliers and marketing materials.
  • Operate brand advertising and control National Accounts.
  • Inspect jobs, audit records, access data, and change standards.

Third parties

  • Tele-Link or another designated answering service handles covered calls.
  • Microsoft technology supports the CertaOne environment.
  • Approved suppliers furnish paint, equipment, wraps, marketing, and financing.
  • Employees or subcontractors perform field production.
  • Insurers and regulators set additional operating conditions.

The unit must use approved or designated sources where CertaPro imposes specifications. Item 8 covers technology, paint, insurance, vehicle graphics, signs, marketing services, and consumer financing. A franchisee may propose an alternative source, but CertaPro may test, approve, reject, or revoke it.

Evidence: 2026 FDD, Item 8, pp. 17–18; Item 11, pp. 19–24; Franchise Agreement §§5.1–5.4, 6.3–6.4, and 12.2–12.4.

Territory and channel rules

Where may the franchisee sell, and how does commercial work differ?

Residential Services receive contractual exclusivity within the defined Territory, principally described by ZIP codes. Commercial Services, Program Services, National Accounts, internet channels, and other alternative distribution mechanisms are governed separately and can create activity inside the same geography without residential exclusivity.

Operating question Residential Services Commercial Services and national channels
Geographic right Exclusive offer and sale inside the assigned Territory, subject to performance criteria. No exclusive commercial territory; a certified franchisee generally may work within 200 miles of its Territory borders.
Lead and media control Local approved advertising, referrals, answering-service inquiries, and brand-generated leads support demand. CertaPro retains exclusive control over commercial media advertising and may distribute leads to any certified franchisee.
Outside-area work Outside-Territory solicitation and orders are restricted except as the agreement permits. Cross-territory work is permitted within the addendum’s radius and certification rules.
Central accounts The local franchisee contracts with eligible residential customers. CertaPro controls National Account negotiations and may assign, redirect, self-perform, or use another provider.
Proposal controls Approved services, products, forms, and System standards apply. Certain specialty work and larger proposals require prior written consent or additional review.

The official National Accounts process describes centralized engagement followed by coordinated local fulfillment. Contractually, the franchisee has no guaranteed allocation or compensation when CertaPro uses another franchisee, a third party, or its own resources. A protected Residential Territory is not a protected customer channel.

Territory limit

Territory protection can be affected by the Performance Criteria in the Franchise Agreement. The FDD also permits CertaPro to use internet, catalog, telemarketing, direct marketing, Program Services, and other channels in the Territory without treating them as an exclusive residential outlet right.

Evidence: 2026 FDD, Item 12, pp. 24–26; Franchise Agreement Article 6; Commercial Services Addendum §§3, 5, 7, 8, and 11; official National Accounts overview.

Technology and operating control

Which systems are mandatory, and what can CertaPro monitor or change?

CertaOne is mandatory for customer relationship management, estimating, sales, scheduling, and crew management. CertaPro can require compatible hardware and software, access System Data, inspect job sites and records, audit user rights, mandate updates, and revise Operations Manual standards.

  • CertaOne usage: the franchisee must use the proprietary platform, including required Microsoft Dynamics 365 and Office 365 licensing arranged through CertaPro.
  • Data transfer and ownership: customer lists, sales volumes, job reports, and related System Data are transmitted regularly, and the agreement gives CertaPro broad access and use rights.
  • User licensing: each employee, contractor, or worker using CertaOne requires an authorized paid user right; CertaPro may audit and require a license true-up.
  • Remote and field inspection: CertaPro may inspect premises and job sites and remotely access specified computers, mobile devices, cloud services, backups, and databases.
  • Change authority: CertaPro may update the System, products, services, technology, security requirements, supplier specifications, and Operations Manual, with implementation generally assigned to the franchisee.

CertaOne supports the estimate-to-job record without transferring local responsibility. The franchisee maintains compatible hardware, internet, backups, cybersecurity, accounting records, project documents, and reports. It must also maintain a non-home office within the Territory within three months after opening; CertaPro does not select or approve the site.

Evidence: 2026 FDD, Item 11, pp. 19–24; Franchise Agreement §§6.9–6.11 and 12.2–12.4; CertaOne User Agreement §§3.3, 9.1–9.2, and 13.3–13.4; Operations Manual topics in Exhibit G. The official franchise technology overview provides supplemental context on lead distribution and operating tools.

System footprint

What does Item 20 show about the outlet network?

At December 31, 2025, the U.S. system contained 304 outlets: 299 franchised and 5 company-owned. The network remained overwhelmingly franchised, while total outlets declined from 326 in 2023 to 307 in 2024 and 304 in 2025.

U.S. outlet composition
As of December 31, 2025 · Total: 304 outlets
304 total outlets Franchised outlets 299 98.4% Company-owned outlets 5 1.6%
Item 20 depicts a franchise-led operating network rather than a company-store model. The three-year outlet series also shows contraction in franchised outlets, from 324 at year-end 2023 to 303 in 2024 and 299 in 2025, while company-owned outlets increased from 2 to 4 to 5.

Source: Certa ProPainters, Ltd., 2026 FDD, Item 20, Tables 1 and 3, pp. 38–42. Percentages are 299 ÷ 304 and 5 ÷ 304; rounded values reconcile to 100.0%.

Buyer verification

Which operating details should be verified before signing?

The FDD defines the framework, but several unit-level decisions depend on the current Territory schedule, Operations Manual, approved-supplier list, labor model, Commercial Services status, and local legal requirements.

  • Confirm the exact ZIP-code Territory, the current Performance Criteria, and how online or centrally generated residential leads are assigned.
  • Obtain the current approved and designated supplier list, vehicle specifications, required CertaOne licenses, technology standards, and answering-service scope.
  • Model the operational consequences of employee painters versus subcontractors, including supervision, insurance, licensing, worker classification, safety, and warranty responsibility.
  • Verify whether Commercial Services certification is available, which training level applies, how the 200-mile operating radius is measured, and which proposals require prior approval.
  • Review how National Accounts, Program Services, commercial leads, and alternative channels have produced work in the specific market without assuming territorial exclusivity.
  • Ask for current outlet changes after December 31, 2025 and reconcile them to the 2026 Item 20 population before relying on the chart as a present-day count.
Operating-model synthesis

CertaPro Painters converts locally sourced and brand-supported demand into managed painting projects, with the franchisee chiefly responsible for estimating, staffing, production quality, billing, collection, and warranty follow-through. The strongest dependency is CertaPro’s control of CertaOne, data, operating standards, approved inputs, and channel rules. The central distinction is exclusive residential geography versus non-exclusive commercial and National Account activity. The largest open question is how the current Territory, lead-routing practices, labor model, and Commercial Services permissions work in the buyer’s specific market.
