Under the 2026 FDD, one Woodhouse Spa operates as a locally staffed, full-service day spa: guests book approved treatments, licensed professionals deliver them, the unit sells approved retail products and location-based memberships, and the franchisee records each transaction through required systems while following The Woodhouse SPAS, LLC’s supplier, marketing, territory, and quality controls.
Data basis. Legal franchisor: The Woodhouse SPAS, LLC. Evidence: the April 30, 2026 FDD, Items 1, 6, 8, 11, 12, 15, 16, 19, and 20; Franchise Agreement; Development Agreement; and Operations Manual. One Franchise Agreement covers one “Spa”; the Development Agreement covers two to ten separately franchised Spas. Item 20 counts are dated December 31, 2025. Official pages were checked July 31, 2026. FDD citations are unlinked because no franchise-controlled public copy was verified.
How does The Woodhouse Day Spa work after opening?
The franchisee operates one approved Spa, employs and supervises the local team, converts bookings and memberships into completed services, sells authorized retail products, and handles guest issues. The franchisor supplies the brand system and operating standards; affiliates and approved suppliers control major product, gift-card, technology, marketing, and facility inputs.

What does the Spa sell, and who buys it?
The Spa sells approved treatments, retail products, gift cards, and required customer-program offerings. A cycle can begin with a booking, retail purchase, gift card, group inquiry, or location-specific Woodhouse Club Membership.
Services
Licensed treatment delivery
The FDD identifies massage therapy, facials, pedicures, manicures, and body treatments. The current consumer menu also lists advanced facials, waxing, spa packages, and self-guided experiences.
Retail and stored value
Products and gift cards
The Retail Boutique sells approved skincare, wellness, and gift merchandise. The official guest FAQ permits gift-card purchases online or in a Spa; Radiance Promotions LLC administers the program.
Recurring relationship
Location-based membership
Required retention and membership programs create repeat service cycles. Under current Woodhouse Club Membership terms, the Membership Spa sells the plan, provides service, bills renewals, and handles cancellation.
The franchisee may sell only approved products and services and must add or discontinue offerings when directed. Internet sales are limited to the approved location page within the official Website and may be terminated by written notice. The FDD discloses no separate customer-class restriction.

Who must run the Spa each day?
The contract requires a qualified Operating Principal at all times and permits a manager-run unit only with written franchisor consent. The Operating Principal remains ultimately responsible, and either the Operating Principal or the approved General Manager must be on duty whenever the Spa is open.
The current franchise website calls ownership active, not passive. Contractually, without an approved General Manager, the Operating Principal must devote full time and best efforts; appointing a General Manager does not remove that accountability.

Which suppliers and systems are mandatory?
Core inputs are controlled. The Woodhouse SPAS, LLC may require approved, designated, affiliate, or exclusive sources for products, décor, uniforms, marketing materials, background checks, booking/POS tools, communications software, and IT.
Item 8 estimates that required-source purchases and leases represent at least 89% of annual purchases and leases. Radiance Distribution LLC is an affiliate supplier; Radiance Promotions LLC operates the gift-card program. The FDD does not name every current vendor.
An alternative supplier requires written approval and requested testing; the FDD allows up to 45 days after a complete submission. The franchisor may change specifications, require upgrades, or designate an exclusive source. The Woodhouse support portal lists resources, while current directives determine mandatory tools.

What does the franchisor control, and what remains local?
The franchisee controls employment and local administration; the franchisor controls the branded operating envelope. Affiliates and approved vendors supply many connecting inputs.
Franchisee decisions
- Hire, schedule, supervise, discipline, and pay Spa personnel.
- Maintain licenses and local legal compliance.
- Manage reservations, service recovery, and guest relations.
- Set inventory quantities within source rules.
- Maintain financial, tax, and advertising records.
Franchisor controls
- Approve the menu, products, suppliers, systems, décor, and advertising.
- Set standards, hours, programs, and lawful pricing rules.
- Control the official Website and online selling permission.
- Inspect the Spa, audit records, and access sales data.
- Require upgrades, training, discontinued items, or correction.
Affiliate and vendor functions
- Radiance Distribution LLC may supply approved products and services.
- Radiance Promotions LLC operates the gift-card program.
- Approved vendors support booking, POS, network, security, and communications.
- Marketing vendors provide print, reputation-management, and campaign inputs.
- Licensed providers deliver regulated services.
The franchisee remains responsible for local people and legal compliance. The Woodhouse SPAS, LLC may prescribe what they sell, which inputs and tools they use, how records are provided, and whether the Spa meets System standards.

Does the Protected Area create an exclusive market?
No. The Protected Area generally blocks another Woodhouse Spa while the franchisee is compliant, but it is expressly non-exclusive and does not block brand marketing, Internet transactions, alternative channels, or business from consumers inside the area.
Single-Spa geography
The Franchise Agreement identifies a Location, Designated Area, and Protected Area of up to six miles. Density, barriers, and demographics may reduce it. Relocation requires approval and generally must remain inside it.
Multi-unit development
A Development Agreement grants a Territory for two to ten Spas, subject to schedule and compliance. Each Spa signs its own Franchise Agreement and receives its own Protected Area; the Territory does not confer customer ownership.
The Woodhouse SPAS, LLC and affiliates may advertise inside the Protected Area, accept its consumers, and sell through Internet or other channels without sharing online retail revenue. Franchisee Internet activity must use the official Website as permitted.

What does Item 20 show about the operating network?
At December 31, 2025, the U.S. system had 93 Woodhouse Spas: 89 franchised outlets and four “Company-Owned Spas.” Item 1 identifies the four as affiliate-owned by DWYL I, DWYL II, and WH Denver.
U.S. outlet composition at December 31, 2025
Exact Item 20 counts; 89 + 4 = 93 and 95.7% + 4.3% = 100.0%.
Interpretation: the network is overwhelmingly franchise-operated, with a four-outlet affiliate operating base.
Source: 2026 FDD, Item 20, pp. 49–52; Item 1, pp. 1–3. Reporting date: December 31, 2025.
Franchised outlet counts rose from 80 in 2023 to 84 in 2024 and 89 in 2025; Company-Owned Spas remained at four. Item 20 reports six franchised openings and one termination in 2025. The counts describe system structure, not unit performance.
Which operating questions remain unresolved?
The FDD defines controls more precisely than the local labor model. It identifies required roles, systems, purchasing rules, and reports, but not site-specific staff count, room utilization, appointment mix, or current vendor configuration.
- Technology schedule: identify required booking/POS, communications, accounting, network, surveillance, and payment systems or providers; identify upgrade timing.
- Labor design: obtain role rosters, shift coverage, provider classification, licenses, and the duty split between General Manager and Spa Concierge.
- Membership mechanics: confirm plan options, local billing, redemption, cancellation, and transfer of membership liabilities.
- Gift-card settlement: verify Radiance Promotions LLC’s pooling, redemption, reimbursement, fraud, and cross-location procedures.
- Protected Area map: review Attachment C, nearby Spas, reserved digital channels, relocation options, and any Development Agreement Territory.
- Supplier concentration: separate required brands, designated suppliers, exclusive sources, affiliate purchases, and viable alternative-supplier categories.

What is the central operating conclusion?
The central mechanism converts local guest demand into approved treatments, retail transactions, gift-card redemption, and location-based membership services. The franchisee’s main responsibility is supervising the licensed team. The strongest dependency is the franchisor-controlled supplier, booking/POS, and reporting structure.
A Protected Area limits another branded Spa but not consumers or digital channels. The largest undisclosed question is the local labor model: required roles are named, but headcount, shift coverage, provider capacity, and room utilization are not.
