How does a Bento Sushi franchise operate after opening?
Central mechanism
A Bento Sushi franchise prepares approved grab-and-go food inside a third-party Host Facility. The franchisee runs production, staffing, food safety, inventory and records; the Host Facility supplies customer traffic and checkout; Bento Sushi Franchise, Inc. controls the menu, suppliers, operating standards, technology and settlement process.

What does the franchisee sell, and who buys it?
The authorized offering is BENTO SUSHI-branded sushi and related prepared food sold primarily to retail consumers already visiting a grocery store, university, airport, hospital or another Host Facility.
An On-Site Location produces, packages and sells approved products from a customer-facing Bento Sushi Counter. The current official portfolio describes sushi rolls, poke bowls, platters and Asian-inspired meals, with hot food at select sites, but the Franchise Agreement requires the franchisee to sell only categories and items BSFI authorizes. The official portfolio is descriptive; the Operations Manual and product notices control the actual menu.
Customers generally select prepackaged food from the display and pay at the Host Facility's register. The FDD states there is no dine-in service and the franchisee does not handle money. The public ordering FAQ says supermarket locations lack centralized Bento online ordering; a grocery partner may separately offer its own e-commerce or third-party delivery channel.

The transaction begins with Host Facility traffic, moves through approved procurement and daily food production, and ends with Host Facility checkout, BSFI settlement, recordkeeping and quality control.

How do the three contract formats differ?
The formats share the Bento Sushi System but differ materially in where production occurs, whether a retail sale occurs at that location, and whether franchisee personnel must remain on-site.
On-Site Location

Format difference
The FDD's franchised Commissary Location is not automatically the same as the corporate Bento Express commissary program. A buyer should use the executed Commissary Location Addendum and Satellite Location Addendum to identify the actual production, delivery and sales path.
Owner role and staffing
Can the franchise be manager-run?
For an On-Site Location, a trained manager may run daily activity, but the 2025 FDD does not support absentee operation: the franchisee or principal owner must devote full time to managing the Sushi Counter directly or through a manager and must supervise the business.
- On-premises manager: An On-Site Location must have a BSFI-trained manager present throughout operating hours. The manager need not own equity but cannot have an interest or business relationship with a BSFI competitor.
- Sushi chef: An On-Site Location and Commissary Location must have a sushi chef making fresh sushi while the location is open. The sushi chef may also serve as manager.
- Food-safety credential: The Franchise Agreement requires the franchisee and all managerial and non-managerial employees to take and pass ServSafe Manager certification. Manager changes must be reported to BSFI in writing within 24 hours.
- Satellite coverage: No employee remains at the Satellite Location, but the franchisee or manager must inspect it daily, replenish it and maintain adequate stock. Transport must comply with food-delivery laws and may require a refrigerated truck.

Which suppliers, technology and records are mandatory?
Core ingredients, packaging, labels, uniforms, label technology and operational data sit inside a controlled supply-and-reporting stack rather than an open-vendor restaurant model.
Wonderfield Distribution
Item 8 identifies Wonderfield Distribution as the only designated supplier for food ingredients other than fresh produce, including seafood proteins, rice, rice vinegar, soy sauce and nori, plus packaging, labels and uniforms. The Host Facility may be the designated source for fresh produce.
Bento Operating Tablet
BSFI is the only designated supplier of the Bento Operating Tablet. The tablet prints required product labels and performs functions BSFI prescribes; the franchisee must maintain it, and BSFI may require updates or replacement at the franchisee's expense.
Franchisee portal and data
The franchisee needs broadband, email and access to a compliant computer for purchase orders, product specifications, training materials, audits and electronic documents. BSFI has independent access to Sushi Counter information and may mandate future software.
Operations Manual and logbooks
The 260-page Operations Manual controls recipes, labels, planograms, daily production, food safety and logbooks. Required records include cleaning schedules, delivery logs, rice-cooling logs, pH logs, temperature logs and sushi-cooling logs.
Technology requirement
Where franchisee sales data conflicts with the Host Facility's report, the Host Facility data controls unless the franchisee raises a written discrepancy within 30 days. Books and Sushi Counter records must be retained for at least four years, and BSFI may examine and copy them.
What does BSFI control, and what remains with the franchisee?
BSFI controls the branded operating system and can revise standards; the franchisee remains the employer and bears day-to-day execution, legal compliance, staffing, inventory, maintenance and complaint resolution.
Restricted or approval-dependent
- Authorized menu, recipes, preparation methods, labels and required new-product tests.
- Approved suppliers, proprietary products, equipment specifications and private-label sources.
- Operating hours, staffing coverage, uniforms, appearance, planograms and food-safety procedures.
- Local advertising, social media, internet sales and other alternative distribution channels.
- Maximum or minimum prices where lawful, plus closure and reopening after food-safety deficiencies.
Franchisee execution decisions
- Hire, pay, schedule and supervise employees while meeting BSFI and Host Facility requirements.
- Set daily production quantities and replenishment within approved menu and inventory standards.
- Maintain equipment, obtain permits, comply with labor and food laws, and carry required insurance.
- Resolve customer and Host Facility complaints, then report them to BSFI.
- Propose a supplier, product, promotion or local advertisement for BSFI review; approval is not guaranteed.
Demand is primarily generated by the Host Facility. The FDD says no National Marketing Fund contribution or minimum local advertising spend is currently required, but BSFI may establish a fund or advertising cooperative. Franchisee-created advertising requires prior written approval, and the franchisee may not create a social-media account for the Sushi Counter.
BSFI provides the Operations Manual, ongoing operating advice, product development, supplier review and advertising review. The official food-safety page describes routine operational reviews and independent audits, while the Franchise Agreement gives BSFI the contractual right to inspect, require correction and close a Sushi Counter for food-safety or cleanliness deficiencies.
How do territory, location and sales channels work?
The franchisee receives no exclusive territory and may operate only from the specified Host Facility location in the applicable Addendum.
BSFI or its affiliates may establish competing Bento Sushi Counters without regard to proximity and may sell authorized products through internet, catalog, telemarketing or other channels without compensating the franchisee. The franchisee cannot independently use a website, app, social media, catalog or toll-free number to make sales and generally may sell only to end customers physically present at the Bento Sushi Counter.
The Host Facility is not the franchisee's landlord: BSFI or an affiliate contracts with the Host Facility, and the franchisee must comply with that Host Facility Agreement and store rules. The Host Facility may change its hours, which changes the On-Site Location or Commissary Location schedule. If the Host Facility relationship ends, relocation is discretionary, may interrupt operations and is not guaranteed.
Item 20 system footprint
What do the outlet counts show?
Item 20 Table 1 reports a smaller U.S. system at the three disclosed fiscal year-ends, with franchised outlets accounting for nearly all locations in each period.

Table 1 shows total outlets decreasing from 99 at the 2022 year-end to 59 at March 31, 2025; the table does not identify how many were On-Site, Commissary or Satellite Locations.

Which operating points need confirmation before signing?
The executed Addendum and Host Facility terms determine the practical unit; several FDD tables and summaries leave format-specific questions unresolved.
- Format population: Ask BSFI to reconcile Item 20 Tables 1 and 3 and provide the current count of On-Site Locations, Commissary Locations and Satellite Locations.
- Satellite deadline: Item 15 says restocking by 11:00 a.m.; the Satellite Location Addendum says products must be placed by 10:00 a.m. The Addendum states it controls conflicts, so confirm the executed deadline.
- Commissary workflow: Item 1 says no customer-facing counter and no sale at the Commissary Location, while its Addendum includes display-case stocking language. Confirm the precise production, transfer and Host Facility obligations.
- Settlement timing: Obtain the Host Facility Margin, Host Facility Rebate, produce-withholding terms, payment frequency and sales-dispute process for the specific location.
- Channel authority: Confirm whether the Host Facility offers online ordering or delivery for the location and document that the channel is authorized under the Franchise Agreement.
- Site continuity: Review the Host Facility Agreement's term, termination notice, hours, rules and relocation consequences. The franchisee does not receive a leasehold or exclusive territory.
What is the operating-model conclusion?
Bento Sushi's central mechanism is the daily production and sale of approved grab-and-go food through a Host Facility that supplies traffic, checkout and sales data. The franchisee's most important responsibility is consistent staffing, production and food-safety execution. BSFI's strongest control is its authority over products, suppliers, the Operations Manual, the Bento Operating Tablet, records and quality enforcement. The decisive format distinction is that a Satellite Location depends on the franchisee's own primary production location and approved transport. The largest unresolved question is the actual current format mix and the reconciliation of conflicting Item 20 and Addendum details.
