Disclosure and signing

What must be reviewed and signed before the opening work begins?

Once Kilwins agrees to consider the application, the candidate should receive the FDD and retain the receipt. The FTC Franchise Rule requires at least 14 calendar days before the prospect signs a binding agreement or pays money to the franchisor or its affiliate. A unilaterally revised material agreement may require a separate seven-calendar-day review; the FTC’s Franchise Rule FAQs explain that rule and its exceptions.

Franchise AgreementGrants one Store. At signing, the standard initial franchise fee and POS implementation fee are triggered; the initial franchise fee is described as fully earned and non-refundable. Any disclosed additional-store or veteran reduction must appear in the final paperwork.

Site approval

How are the Search Area, Approved Site, lease and Protected Territory different?

The Search Area is temporary and only supports site selection. An address becomes the Approved Site after written Kilwins approval and site control. Kilwins separately reviews the lease, and the landlord and franchisee sign the Kilwins Lease Addendum. Exhibit A then describes the Protected Territory.

Item 11 says failure to locate an Approved Site within 120 days is a default. The attached Search Area Addendum defines a different Search Period, requires monthly search reports, and permits discussion of a limited extension or different area; none is automatic. Obtain written clarification of the final completed addendum, governing deadline and consequence before signing.

Kilwins reviews pedestrian traffic, competition, demographics, visibility, access, utilities, zoning and lease terms. Approval is not a guarantee; site due diligence, lease economics and local compliance remain the franchisee’s responsibility. The official Kilwins opening guide describes real-estate assistance; the Franchise Agreement limits that assistance and leaves the final site and lease decision with the franchisee.

Training

How much initial training is required for each Kilwins format?

Full-Line training is longer because it includes made-in-store production. The individual franchisee or approved Operating Partner and one full-time Franchised Business Manager must attend; up to four trainees are included. Each day is at least eight hours, with completion subject to Kilwins’ satisfaction.

Opening readiness

Who controls each final dependency before the doors can open?

Kilwins supplies standards and approvals; the franchisee contracts with the landlord, contractors, suppliers, insurers and employees; authorities issue permits and licenses. Final opening depends on all three groups.

Ask Kilwins to identify the exact format, Search Area, Protected Territory formula, opening deadline, required managers and design program in the completed documents. Confirm whether the six-to-eight-month estimate fits the expected site-delivery, construction, training and opening-team schedule.

Use Item 20’s current and former franchisee contacts to test site approval, landlord negotiations, contractor and permit delays, Kilwins University, supplier lead times, inspection and opening support. The FTC buyer guide recommends using the FDD and franchisee contacts for due diligence. Verify zoning, food-service, building, fire, sign, tax and occupancy requirements with applicable authorities; no single national permit list applies.
