APPLICATION

What must an applicant submit and qualify for?

The applicant must be a natural person or an existing legal entity and normally completes the Hilton Franchise Application through the Hilton Application Tracker. The package identifies the brand, project type, site, ultimate owners, management plan, budget, dates, financing, lender terms, and transaction deadlines. Hilton may request more information and conduct credit and background investigations.

A complete package includes the FDD receipt, signed Application Letter, formation or status document, ownership forms, organizational chart, site-control evidence, site plan, aerial and location map, and a list of hotels owned or managed. Hilton may request a market or feasibility study. A Conversion application also calls for three years of hotel operating statistics and, when applicable, a conversion indemnity letter. Proposed management requires a separate written decision.

The application payment is a process trigger. It must not be made until the federal waiting period has expired. If Hilton denies the application or the applicant withdraws before approval, the disclosed refund is reduced by a $7,500 processing charge, subject to Hilton’s stated discretion. Once approved, the fee generally becomes non-refundable; failure to deliver remaining information, meet approval conditions, or sign required documents within Hilton’s deadline can end the project without a refund. TRAINING AND READINESS

What must be complete before Hilton can authorize opening?

Required personnel must complete the training assigned to their functions to Hilton’s satisfaction. Before opening, HPMS users complete role-based training; reservations and revenue-management personnel complete OnQ Rate & Inventory/GRO training and the certification test; relevant management and front-office personnel complete Hilton Honors training. Hilton may delay opening when the required staff have not completed or passed training.

First-time Hilton brand franchisees or their supervising management-company representative attend Owner Orientation 12–18 months before opening. At least one person in an organization without prior hospitality or comparable brand experience completes New to Hospitality Owner Education before opening. All new hotel staff complete Welcome to Hilton Orientation and Service Skills training within seven days of starting. DEADLINES AND CONSEQUENCES

What can delay or terminate the opening project?

For New Development and Conversion projects, stated commencement and completion dates currently receive rolling 30-day automatic extensions unless Hilton gives at least 60 days’ notice that the automatic extensions will end. After that notice, a further extension requires a written request before the deadline, Hilton’s discretionary approval, and any imposed conditions or extension payment. These automatic extensions do not apply to Change of Ownership or Re-licensing projects.

Missing a Hotel Work or Opening Date can become a curable default after written notice, with at least the contractual cure period described in the agreement. Hilton may terminate for failure to commence or complete work or open after the cure opportunity. The agreement’s Force Majeure definition does not include inability to finance the project, obtain permits, licenses or zoning variances, or withstand a general economic downturn. Those dependencies remain the franchisee’s schedule risk.

The opening date is not merely construction completion. Hilton may withhold written consent until the hotel complies with the agreement, staff are adequately trained, applicable government authorization is in place, accessibility certification is delivered, amounts due are paid, and specified disputes are resolved. What should a prospective owner verify before signing?

Ask Hilton to identify every approval condition and deadline that will appear in the Addendum or PIP, including the exact definition of construction commencement, plan-submission dates, completion date, Opening Date, management approval, guarantors, Restricted Area terms, and technology implementation schedule. Confirm whether the proposed project has any site-specific Standards, prototype deviations, shared facilities, room-count conditions, or lender-comfort requirements.

Ask how long application review, design approval, PIP negotiations, technology installation, training and the opening inspection took; what caused rescheduling; and whether the final Addendum differed from early discussions.
