Who performs each operating function?
Window Genie is not contractually presented as an absentee model. An individual franchisee must directly perform or supervise the Business unless the franchisor consents otherwise; an entity must use a trained principal owner for direct on-site supervision unless consent is granted for a trained manager.
A manager need not own equity, but must complete training and be acceptable to the franchisor. The franchisee remains the sole employer and controls hiring, discharge, scheduling, wages, benefits and worker training. Beginning with the second full calendar year, the Business must meet both the Gross Sales Minimum Performance Standard and the Customer Satisfaction Minimum Performance Standard. Failure can lead to a performance improvement plan and, if not cured, Territory reduction or termination. This is an operating-control mechanism, not an earnings projection.
How protected is the Territory?
The Territory has limited protection but is expressly non-exclusive. While a compliant franchisee generally receives protection against another Window Genie Business receiving rights to market inside the Territory, the franchisor reserves alternative channels, different marks, Key Accounts, customer-request exceptions and approved cross-territory programs.
The standard Territory generally contains up to 50,000 qualified households. A Rural Franchise contains 20,000 to 40,000 qualified households outside a standard metropolitan statistical area. The franchisee may not advertise, solicit, sell or service outside the Territory without prior consent, except under specified rules such as a Territory Available for Sale or the Preferred Lead Program; those permissions can end when the area is sold or program conditions change.
