Operating model

How does a UFC GYM franchise operate after opening?

A UFC GYM Business converts local prospects into memberships, classes, private coaching and approved ancillary purchases. The franchisee supplies location, capital and leadership; UG Franchise Operations, LLC sets the operating system; designated software, payment, training and supplier partners provide key dependencies.

Direct operating answer

The cycle is acquisition, enrollment, payment, check-in, coach-led delivery, retention and reporting. Floor plan, program mix and management path change materially across UFC GYM Jiu Jitsu, Class by UFC GYM, UFC GYM (Core), UFC GYM (Signature) and UFC FIT.

Owner role and staffing

Can the owner delegate daily operation?

Yes, but the 2026 FDD does not define the franchise as passive. A franchisor-approved Designated General Manager may operate the unit, but the Managing Owner or manager must devote best full-time efforts to supervision. General Managers and Class Instructors require approval and training.

Owner participation

Personal on-premises participation is not mandatory, but qualified management is. If an approved General Manager leaves, the owner or Managing Owner must perform the management obligations until a trained replacement is accepted.

Franchisee or Owner

Funds the business and premises; hires, pays and supervises personnel in the standard path; obtains local permits; and ensures membership agreements and waivers comply with law.

UG Franchise Operations, LLC

Approves key managers and instructors, supplies the Operations Manual, defines System Standards, provides training and support, controls products and advertising, and may inspect, audit or require retraining.

Designated third parties

Supply billing, merchant processing, lead management, training, equipment, apparel and insurance. The franchisee pays them even when UG Franchise Operations, LLC selects or changes the vendor.

How the Management Services Agreement changes the model

For UFC GYM (Signature) or UFC FIT, the franchisor may require a Management Services Agreement with UG Management Company, LLC. Exhibit M makes UGM the exclusive club manager and employer, with control of pricing, purchasing, collections, payments, marketing, maintenance, software and back-office support. The Owner retains funding, budget approval, inspection, legal compliance and taxes.

2026 UFC GYM FDD, Item 15, pp. 60-61; Franchise Agreement §§2.6-2.8 and 4.8-4.9; Exhibit M, Management Services Agreement §§1.1-1.8 and 4.1-4.6, PDF pp. 262-284.

Technology and supply chain

Which systems and suppliers are mandatory?

The franchisee cannot choose an independent stack. Approved membership software, POS, merchant processing, lead management, training, equipment, inventory, uniforms and insurance are model-specific requirements. UG Franchise Operations, LLC may change vendors and hardware specifications while retaining unit-data access.

Membership, billing and leads

The 2026 fee tables identify Alta for UFC GYM Jiu Jitsu, Glofox for Class by UFC GYM, and ABC Fitness Solutions/DataTrak plus GymSales/Ignite for Core and large formats. Each path connects enrollment, payment, access, member records and reporting.

Training and programming

ClubConnect supplies UFC GYM University. Enhance is required for UFC GYM (Signature) and UFC FIT. Coaches complete UFC GYM private-coach training and CPR requirements; classes follow the Operations Manual.

Equipment and merchandise

Equipment, floor plans, signage, audio-visual systems and retail inventory must come from approved sources. P5 Wear, LLC is a required apparel supplier. Alternate suppliers require written approval and may be inspected or tested.

Security and reporting

The Gym Management System and POS must operate by presale or opening. PCI-DSS requires a firewall, one-year logs, access controls, a Self-Assessment Questionnaire and quarterly scans. The intranet carries reports, Manuals, advertising and training.

2026 UFC GYM FDD, Item 6, pp. 16-24; Item 8, pp. 38-42; Item 11, pp. 43-53; Franchise Agreement §2.4. The official ongoing-support page describes operations, IT, POS, membership-database, marketing and training support.

Territory and channels

What protection does the Designated Territory provide?

The Designated Territory blocks another conventional UFC GYM Business under the System and Marks while the franchisee remains compliant, but it is not exclusive. Internet, alternative-brand, Non-Traditional Site and other channel rights remain reserved; outside solicitation needs written consent.

Class / Jiu JitsuTypically a 50,000-person population area or a 2-mile radius around the approved GYM.
UFC GYM (Core)Typically a 100,000-person population area or a 3-mile radius.
Signature / UFC FITTypically a 150,000-person population area or a 4-mile radius.
Reserved channelsInternet and electronic media, alternative distribution, Non-Traditional Sites and businesses under other marks can operate inside the Designated Territory.
Development AreaA separate multi-unit right governed by the Development Rights Rider, development schedule and physical-premises protection.
Territory limit

From the second calendar year, protection depends on at least 80% of the defined “designated average” Gross Revenues for qualifying UFC GYM Businesses. Failure may permit loss of protection or termination; this is a contractual control, not an earnings forecast.

2026 UFC GYM FDD, Item 12, pp. 53-56; Franchise Agreement §§1.1-1.3; Development Rights Rider.

System footprint

What does Item 20 show about the operating network?

At December 31, 2025, Item 20 reported 59 U.S. outlets: 58 franchised and one company-owned. Franchisees therefore operated nearly all domestic outlets, while the total network was smaller than at year-end 2023.

U.S. outlet composition at December 31, 2025

59 TOTAL OUTLETS
58 franchised 98.3% of the total
1 company-owned 1.7% of the total

Reporting date: December 31, 2025

Total outlets declined from 74 at year-end 2023 to 69 in 2024 and 59 in 2025. During 2025, franchised outlets recorded four openings, seven terminations, four non-renewals and one other cessation.

Source: 2026 UFC GYM FDD, Item 1, pp. 10-13, and Item 20, Tables 1, 3 and 4, pp. 65-70. “Company-owned” outlets are affiliate-operated for FDD reporting. Percentages reconcile to 100.0% after rounding.

Buyer verification

Which operating questions remain unresolved?

Model-specific details remain in the Data Sheet, current Operations Manual, supplier agreements and approved-vendor schedules. Those documents determine the location’s exact service mix, technology stack and management path.

Buyer verification

The 2026 FDD names five legal models, while the current franchise website presents three commercial groupings. Its fee tables also associate UFC GYM (Core) with both Glofox and ABC Fitness Solutions/DataTrak plus GymSales/Ignite. Executed agreements should resolve both points.

✓

Executed model: confirm the Data Sheet model and reconcile it with the public three-group presentation.

✓

Management path: determine whether Signature or UFC FIT requires a Management Services Agreement and which Owner decisions UGM controls.

✓

Technology schedule: obtain current POS, billing, lead-management and reporting agreements, including migration and data-export duties.

✓

Approved inputs: review suppliers, equipment replacement, P5 Wear terms, minimum inventory and alternate-supplier approval.

✓

Territory mechanics: inspect the Designated Territory map, reserved channels, Non-Traditional Site rights and performance calculation.

✓

Local package: verify approved memberships, classes, kids-club, café, recovery, retail and corporate-wellness programs.

Operating-model synthesis. UFC GYM converts local demand into enrollment, recurring payment, facility access and repeated class or coaching fulfillment. The franchisee’s central duty is full-time leadership. The strongest dependency is control over standards, suppliers, technology and data. The key distinction is a directly operated boutique or Core club versus a UGM-managed large format. The main unknown is the current technology, supplier and program schedule.
