What does the franchisee sell, and who buys it?

Red Roof Inn is a lodging operation, not a full-service hotel model. The base Red Roof Inn format generally omits management-intensive facilities such as an in-house restaurant, cocktail lounge, room service, banquet center, or conference space. Required services generally include lodging, guest internet access, and telephone and television facilities; additional goods or services require franchisor approval.

Demand comes from business and leisure travelers, plus group and commercial accounts. Item 19 identifies Red Roof-generated reservation channels as the Red Roof booking site, the Red Roof call center, group booking, National Sales, Global Distribution System channels, third-party websites, and RediRewards members booking directly with an Inn. Who runs the hotel day to day?

The FDD does not require the franchisee to personally supervise the Inn. It does require direct on-premises supervision by a Manager who has completed RED Advantage Training, meets the Manuals' manager requirements, devotes full time and best efforts to the Inn, and does not work for a competitor. A third-party Manager requires Red Roof approval. The FDD does not label this structure “absentee ownership.”

Owner participation

A non-owner Manager is permitted, but the franchisee remains the employer and operating counterparty. The franchisee is solely responsible for recruitment, selection, training, compensation, supervision, scheduling, discipline, workplace conditions, termination, employee acts and omissions, property safety, and legal compliance.

Systems and inputs

Which technology and suppliers are mandatory?

The Reservation System and Reservation Platform / PMS are core dependencies. The franchisor sublicenses the PMS and designates the revenue-management software, supporting hardware, communications facilities, data circuits, payment-card interface requirements, and security standards. The PMS is described as automating reservations, check-in and payment, messages, rooms control, housekeeping scheduling, and revenue/statistical reporting. Red Roof has unrestricted contractual access to specified Inn data for statistical, audit, and marketing purposes.

Item 8 estimates that Red Roof Standards and specifications apply to 80%-90% of development and operating purchases and leases. Certain brand-specific items, marketing materials, interior and exterior signage, computer systems, Reservation Platform / PMS technology, fixtures, furnishings, and equipment must come from Designated Suppliers when Red Roof so specifies. The FDD estimates 39% of operating purchases and leases are required to be made from Red Roof or Designated Suppliers.

Not every input is sole-source. Guest Wi-Fi must meet Red Roof specifications and be free to guests, but the 2026 FDD says Red Roof did not then designate a specific Wi-Fi supplier, while reserving the right to do so later. For a non-designated supplier, the franchisee must obtain written approval and support the supplier evaluation process; Red Roof may later revoke an approval.

Technology requirement

PCI DSS compliance is an operating condition, not merely an IT preference. If the Inn cannot demonstrate compliance, Red Roof may require an approved vendor and may cut off the property's ability to process reservations and check-ins until compliance is proven.

What does Red Roof control, and what remains with the franchisee?

Red Roof controls the operating envelope more tightly than the employment relationship. The Franchise Agreement permits Red Roof to amend the Standards and Manuals, require approved products and services, designate technology and suppliers, inspect the Inn, require corrections, control brand programs and online presentation, and obtain nightly operating data. The franchisee controls its workforce and executes the property-level work inside those requirements.

  • Hours and premisesThe Inn must operate 24 hours a day, every day, and the Approved Location may be used only for the Inn unless Red Roof consents.
  • Products and programsOnly approved goods and services may be offered; required loyalty, corporate, reservation, rate, inventory, guest-satisfaction and other System programs must be followed.

Territory and channels

Does the franchisee control a territory or customer base?

The Franchise Agreement defines an Exclusive Territory around the Approved Location, negotiated using property size, competing room supply, population, roads, access, visibility and development plans. Protection is conditional: the franchisee and its Affiliates must not be in default, and the Inn must have met Red Roof quality-assurance and guest-complaint standards during the prior 12 consecutive months. Subject to those conditions, Red Roof will not establish another Red Roof Inn inside the Exclusive Territory except listed existing locations.

The protection is brand-specific rather than customer-exclusive. Red Roof Affiliates may franchise or operate The Red Collection or HomeTowne Studios brands inside the Exclusive Territory, Red Roof Inn hotels may operate immediately outside it, advertising may cross territory lines, and the central system may accept reservations originating from another franchisee's territory. The franchisee may solicit customers regardless of location, but internet sales and listings remain subject to Red Roof's internet policy.

At December 31, 2025, Item 20 reports 623 U.S. Red Roof Inn system outlets: 596 franchised and 27 Affiliate-Owned Inns. During 2025, franchised outlets increased by 12 while Affiliate-Owned Inns declined by eight, producing a net system increase of four outlets. The ownership mix therefore shifted further toward franchised operation.

The FDD defines the system architecture, but property-level requirements can vary or change through the Manuals and written Standards. A buyer should verify the current documents for the specific Inn rather than assume the brand-wide model fixes every local obligation.

  • Current technology stack. Confirm the exact Reservation Platform / PMS, designated revenue-management software, payment interface, PCI DSS vendor requirements, hardware, and required upgrades for the property.
  • Approved and Designated Suppliers. Obtain the current supplier list and identify which recurring operating inputs are single-source, designated, approved, or open to specification-compliant alternatives.
  • Exclusive Territory conditions. Read Exhibit A and confirm the map, existing Red Roof locations, quality conditions, and any adjacent or affiliated-brand development that the protection does not block.
  • Manager and staffing plan. Confirm the designated Manager's approval and training status, then map actual front-desk, housekeeping and maintenance coverage to the 24/7 operating requirement without relying on an assumed headcount.
