The franchisee or experienced manager employs the hotel team, sets room rates, maintains the property, delivers rooms and applicable food, beverage, and meetings, handles guests, and reports. Ramada Worldwide Inc. controls System Standards, distribution, technology, approved inputs, and quality.

The operating model joins local hotel execution to a centrally controlled demand and compliance network: reservations flow through the Central Reservation System and approved distributors; the Facility fulfills the stay; Wyndham Rewards, Wyndham Connect Plus, approved property technology, monthly reporting, and quality inspections connect the local operation back to the franchisor.

Data basis. The legal franchisor is Ramada Worldwide Inc., a subsidiary of Wyndham Hotel Group, LLC; Wyndham Hotels & Resorts, Inc. is the ultimate parent. What does a Ramada Facility sell, and who buys it?

The core sale is an overnight guest room. Depending on the approved Facility type and System Standards, the property also supplies food and beverage, meeting or banquet space, business services, WiFi, and fitness amenities to business travelers, leisure travelers, groups, and loyalty members.

Demand originates through brand sites, call centers, the Wyndham mobile app, GDS, approved booking sites, Global Sales, group inquiries, and Wyndham Rewards. Franchisor control

The reservation path is not an open local choice. The Franchise Agreement makes the Central Reservation System exclusive, and electronic bookings must use approved websites, distributors, or other consented channels. The franchisee is the hotel employer and operating principal, even when day-to-day management is delegated. Ramada Worldwide Inc. supplies the brand system, distribution, training, field support, and quality oversight; approved technology and supplier organizations control specified inputs.

Owner participation

Personal operation is not required, but a non-operating franchisee must retain an experienced management company or individual manager and a trained general manager. The franchisee alone controls hiring, firing, scheduling, pay, policies, supervision, discipline, and workplace safety.

Approved Supplier rules are category-specific. Mark-bearing items, approved photographs, brand ambience, health-and-safety services, guest WiFi, credit-card acquiring, Wyndham Gateway components, and the PMS require approved sources; a sole source may be designated. Technology agreements permit audits of connected hardware and applications, revised minimum requirements, and required replacements. The franchisee must secure credentials, transmit guest data lawfully and accurately, maintain connectivity, and subscribe to required PMS upgrades. Technology requirement

The 2026 FDD describes SynXis Property Hub as intended for a limited- or select-service property without meeting space or food-and-beverage operations, while Ramada and Ramada Plaza descriptions include those functions. The FDD does not resolve every property's configuration. Obtain the site-specific approved PMS and interface schedule in writing.

What does the franchisor control, and what remains local?

The franchisee controls hotel employment, local execution, room rates, and permitted local marketing. Ramada Worldwide Inc. controls the branded operating envelope: property standards, required offerings, distribution channels, technology, approved supplier categories, loyalty participation, quality assurance, data access, and reporting rules.

The base offer provides no exclusive territory. A Protected Territory may be negotiated before signing and may protect only the Facility location; other Wyndham brands may overlap it, and the franchisor and affiliates may solicit reservations there. What does Item 20 show about the U.S. operating network?

Ramada's U.S. network was entirely franchised at each of the last three year-ends. The count fell from 279 Facilities at December 31, 2023 to 247 at December 31, 2025, while company-owned Facilities remained at zero.

Item 20 signal: the domestic footprint contracted by 32 Facilities over two years, but its ownership structure did not change—every reported U.S. Facility was franchised.

Item 20 also reports five 2025 U.S. openings, no terminations, 22 Facilities that ceased for other reasons, and seven transfers. Which operating questions should be resolved before signing?

The FDD defines the system-level rules, but several high-impact operating details depend on the approved property, negotiated agreement, current manual, and supplier schedules. These points should be documented for the specific transaction rather than inferred from brand-level descriptions.

  • Confirm the approved Ramada or Ramada Plaza package: rooms, food and beverage, meetings, amenities, and required services.
  • Identify the approved PMS edition, interfaces, hardware, implementation duties, support, and upgrade path.
  • Map current approved, designated, and sole-source supplier categories and WSSI arrangements.
  • Read the Protected Territory description, carveouts, overlapping-brand rights, and relocation limits.
  • Confirm any required management company and the general-manager qualifications and training deadlines.
  • Obtain current System Standards, quality thresholds, inspection procedures, and remediation obligations.
  • Verify which RMS, remote sales, and MOP services are selected or may become mandatory.
