What does a Happy Lemon Store sell, and who buys it?
The 2026 Franchise Disclosure Document defines a Happy Lemon Store as a retail store selling tea beverages with fresh fruit, milk, salted cheese, boba, specialty items and complementary menu items. Item 1 says it uses a fast-casual/take-out format for the general public. The current U.S. menu groups the offer into brewed tea, milk tea, fruit tea, smoothies, lemon drinks, salted-cheese drinks and Bubble Waffle.
The Happy Lemon Rewards Program recognizes purchases at participating stores and on the Happy Lemon App, while third-party delivery transactions do not earn rewards. Contractually, a franchisee may not market or sell through the Internet or another channel outside the Happy Lemon Store without written consent.
The official franchise page currently markets three physical site models: Grab-n-Go Kiosk at 400-700 square feet, Standard Take-Out Store at 700-1,000 square feet, and Premium Dine-In Store at 1,000+ square feet. The 2026 FDD, however, offers one single-unit Happy Lemon Store and does not define three separate franchise agreements or separate territorial rights for those models.

Who is responsible for running the store?
The franchise is not disclosed as absentee-run. Item 15 requires the franchisee or its Designated Owner to supervise the Franchised Business and personally participate in direct operation. The Designated Owner must maintain an equity interest, but the FDD states no minimum ownership percentage. Each Happy Lemon Store must have at least two Store Managers; one may be the Designated Owner, and each Store Manager must successfully complete the Initial Training Program.
Employment control stays with the franchisee. Item 15 assigns wages, schedules, duties, supervision, work rules, hiring, discharge and workplace conditions to the franchisee. Yummy-town USA LLC does not provide hiring assistance and, beyond the Initial Training Program, does not undertake unit-employee training. Food-handler or equivalent certifications apply where local law requires them.
The contract separates hands-on supervision from staffing execution: the franchisee or Designated Owner must personally participate, while Store Managers supervise shifts and employees. The FDD does not disclose a standard headcount, shift roster, wage model or labor-hour target.

Which suppliers, inventory and technology are mandatory?
Item 8 calls required inputs Designated Goods: packaging and serving materials, proprietary ingredients, mixes, seasonings, flavorings, raw materials, supplies, kitchen equipment, computer hardware and software, uniforms and signage. The franchisor supplies an Approved Suppliers list and can add, remove or change both Designated Goods and Approved Suppliers. The Franchise Agreement separately requires certain Proprietary Products to be purchased exclusively from the franchisor, a Franchisor Associate or a designated supplier.
Alternative sourcing requires approval. A proposed product, service or Approved Supplier requires a written request, samples and requested information; the Franchise Disclosure Document says review generally takes about 30 days. Yummy-town USA LLC can later revoke an approval, with at least 30 days to stop using the affected product, service or supplier. Required ongoing purchases and leases are estimated at about 75% of all ongoing purchases and leases.
The POS System is the only hardware/software expressly required as of the FDD issuance date, with at least one POS hardware unit meeting franchisor specifications. Yummy-town USA LLC can require loyalty rewards, gift cards, mobile ordering and similar modules, mandate upgrades, and access all information generated and stored in the POS System without contractual limits on timing or data category. The franchisee remains responsible for privacy-law compliance.
Operational reporting is not merely a local bookkeeping choice. Franchise Agreement Section 12 requires complete records, a Gross Revenues Report after each royalty period, and access to business, customer and supplier data on request. The current royalty period is a calendar month, although the franchisor may change that period and related reporting requirements.

What does the franchisor control, and what decisions remain local?
Franchise Agreement Section 13 allows unannounced business-hours inspections of Store condition, equipment, inventory, customer service and menu-item preparation; Yummy-town USA LLC may sample products, interview staff or customers, audit records and require corrections. Section 9 permits System Standards for preparation, storage, packaging, hours, payment systems, bookkeeping and approved delivery or catering.
Territory protection is absent. The franchise is tied to one Accepted Location, and the franchisee receives no protected or reserved area. Current policy places no geographic restriction on customers the store may solicit, but the franchisee needs written consent for Internet or other non-store distribution. Yummy-town USA LLC and its Affiliates may solicit consumers and use Internet, grocery and other channels anywhere without compensating the franchisee.
A store address is not a protected market. The key operating distinction is between freedom to solicit customers geographically and the separate restriction on selling through unapproved channels.

What does Item 20 show about the U.S. outlet mix?
At December 31, 2025, Item 20 reports 118 U.S. Happy Lemon outlets: 106 franchised and 12 company-owned. Franchised outlets ended 2023, 2024 and 2025 at 106 each year; company-owned outlets rose from 5 to 9 to 12.
Which operating details still need to be verified for a specific store?
The Franchise Disclosure Document defines the control architecture but not every local variable. The current Franchise Agreement, Schedule A, Approved Suppliers list, Manual and POS System specifications should be reconciled with the exact Accepted Location, especially because the public franchise page describes site models more granularly than the Franchise Disclosure Document.
