A new Gold’s Gym Facility must provide cardio equipment, resistance equipment, group fitness, personal training and locker-room services, subject to a possible waiver for certain large urban locations. Its pro shop sells authorized clothing, accessories, drinks, bars, supplements and nutritional products. Kids’ club, smoothie bar and juice bar services are optional when authorized.
Prospective members, members and guests are the principal demand entities. Group Membership Programs may add participants under franchisor-defined rules. The official Gold’s Gym consumer site presents equipment access, classes and personal training; the online membership path moves a prospect through location, plan, profile, agreement and payment.

Who runs the gym and performs the work?
Personal operation by the franchisee or managing owner is recommended, not required. The franchisee must retain direct management control, and a trained manager must devote full working time and best efforts to on-premises operations. That manager may be an employee without an ownership interest.
The agreements do not define Gold’s Gym as an absentee model. A qualified manager may run daily operations, but management control cannot pass to a management company, affiliate, consultant or subcontractor. Facility services—including personal training and authorized ancillary services—must be delivered by the franchisee’s employees.
The Operations Manual role titles do not establish a mandatory headcount. The franchisee hires, schedules, supervises and pays employees; System Standards may regulate qualifications, training, uniforms and staffing levels. Which suppliers, assets and technology are controlled?
The franchisor estimates that purchases and leases from the franchisor or affiliates, approved suppliers, or under System Standards represent about 75% of ongoing operating purchases and leases. The Global Vendor Program covers insurance, exercise equipment, signage, promotional items, Gym Management System components and other Operating Assets.
Alternative suppliers require evaluation; approval may be refused or revoked. The franchisee maintains, secures and upgrades the Gym Management System and reports suspected data breaches. What does the franchisor control, and what remains local?
Gold’s Gym Franchise LLC designs and enforces the operating system; the franchisee executes it and remains the employer and Facility operator. Approved suppliers and platform providers control designated inputs, but they do not replace the franchisee’s duty to manage service, safety, records and legal compliance.

How far do Territory and digital rights extend?
The franchisee receives no exclusive Territory. After Site acceptance, Gold’s Gym Franchise LLC defines a circular protected “Territory,” potentially from one-eighth mile in a dense area to three miles in a rural area. While the franchisee remains compliant, the franchisor generally will not establish another physical Gold’s Gym Facility inside that circle, subject to hotel, acquisition and stated exceptions.
Protection concerns another physical Gold’s Gym Facility, not exclusive customers or channels. The franchisee may solicit outside the Territory but generally may sell only at the Facility, through System Website enrollment, or through approved short-term off-site promotions. The franchisor and affiliates reserve Internet, direct-marketing and competing-brand rights inside the Territory.
The franchisee cannot create an independent website, app, kiosk or e-commerce channel using the Marks without approval. Local social media follows System Standards. The location finder directs prospects to Facilities; the cancellation page states that each location manages cancellations.

What does Item 20 show about the U.S. network?
At December 31, 2025, Item 20 listed 182 U.S. Gold’s Gym Facilities: 132 franchised outlets and 50 company-owned outlets operated by affiliates. The mix was 72.5% franchised and 27.5% company-owned. Total outlets declined from 211 at December 31, 2024, a net reduction of 29 during 2025.

The franchised count fell from 159 to 132 in 2025. Item 20 records four openings, five terminations, one non-renewal and 25 outlets that ceased operations for other reasons, including 22 in California; it does not identify the operating cause of that category. The company-owned count fell from 52 to 50.

Which operating details require Facility-level confirmation?
The FDD does not name every vendor, schedule or local procedure. The Site, Territory exhibit, System Standards and supplier agreements should resolve them.
What is the practical operating conclusion?
The customer mechanism is a local membership relationship supplemented by employee-delivered personal training, group fitness, Gold’s Studio Programs and authorized pro-shop sales. The franchisee’s central responsibility is employee-led, on-premises execution: conversion, service delivery, Facility condition, accounts, compliance and reporting.
The strongest dependency is Gold’s Gym Franchise LLC’s authority over System Standards, approved suppliers, the Gym Management System, data access, marketing and inspections. A non-exclusive Territory protects only against specified physical Gold’s Gym Facilities, not all customers or digital channels. The largest undisclosed operating question is the current named vendor and staffing configuration for the proposed Facility.
