What does an Express franchise sell, and who buys it?
The franchise sells staffing and recruiting services to employer clients, not jobs to applicants. The authorized service set can include Temporary Staffing Services, evaluation hire, temporary-to-hire, flexible staffing, outsourcing arrangements and approved Direct Hire Services. Job seekers apply without paying a placement fee through the consumer-facing Express hiring process.
Core Occupations Services cover non-professional roles. Professional Occupations Services include accounting, finance, engineering, technology, legal, marketing and management, often through Specialized Recruiting Group. Healthcare Occupations Services cover licensed medical professionals through Express Healthcare Staffing and add clinician credentialing to fulfillment.

How does work move from a client request to payroll and follow-up?
A service cycle starts with a local or assigned employer need, then moves through job-order compliance, candidate sourcing, selection, placement, time or fee recording, billing and service follow-up. The franchisee performs the local sales and fulfillment work; Express Services runs the standard Associate payroll, client invoicing, accounts-receivable records and required system reporting.

Who performs each operating function?
This is an actively supervised local operating model. The principal owner must participate in day-to-day operations and serve as the on-premises supervisor, directly or through the qualifying principal structure described in Item 15. Express Services supports the office but does not hire or generally train the franchisee’s internal employees.
Owner participation
Item 15 does not describe an absentee model. The on-premises supervisor must own at least 51% of an entity franchisee, manage daily operations and maintain the three disclosed internal functions. The FDD does not provide a full headcount or shift plan.

Which systems and suppliers are mandatory?
Express Services controls the principal operating stack. The franchisee must buy the Computer System through Express, use Required Software and approved forms, maintain specified communications and security arrangements, and purchase restricted inputs only from approved or designated suppliers. Express may change specifications, require upgrades and access system data without a contractual access limit.
Technology requirement
Express Services owns franchise, customer and transaction data during and after the term. It can require reports, access systems and mandate hardware, software, security or connectivity changes.

What does the franchisor control, and what remains with the franchisee?
Express Services controls the service boundaries, systems, data, advertising, client-contract exceptions, Territory framework, Enterprise Account Clients and operating standards. The franchisee controls local execution within those boundaries: prospecting, internal staff management, candidate relationships, daily scheduling, account service and many client-level operating choices, subject to credit, safety, pricing-floor and contract rules.

Territory and channels
How do territory and account rules limit local sales?
The franchise receives a protected, non-exclusive Territory tied to a specific office location. The office generally solicits employers and dispatches Associates only within that Territory, cannot target another granted Territory without approval, and must follow separate rules for open territories, Direct Hire Services, Remote Workers, Enterprise Account Clients and the Reflik platform.
Express ordinarily refers inquiries for client business locations inside the Territory, but serviced employers remain Express clients. A headquarters address does not authorize assignments elsewhere; the receiving business location controls. Enterprise Account Clients may be allocated or served through Express, an affiliate or another provider.
Territory limit
Territorial protection does not create unrestricted customer ownership or channel exclusivity. Express reserves rights for other occupation services, national and Enterprise Account work, approved digital platforms, new personnel-placement services, Direct Hire arrangements and other channels described in Item 12.

What does Item 20 show about the operating network?
At December 31, 2025, the U.S. system reported 765 locations, including Branch Offices: 758 franchised outlets and seven company-owned outlets. The operating network was therefore overwhelmingly franchise-run, but the franchised count declined from 788 at the end of 2023 to 758 at the end of 2025.
