Which obligations deserve heightened legal and financial diligence?
The Franchise Agreement provides two consecutive five-year successor terms if renewal conditions are satisfied, but renewal requires the then-current agreement, a fee equal to 25% of the then-current initial franchise fee, current standards, training compliance, possession of approved premises, and a general release. A controlling transfer carries a $10,000 Traditional Store or $5,000 Non-Traditional Store fee plus expenses, franchisor consent, transferee qualification and training, possible refurbishment, a right of first refusal, and a then-current agreement for the remaining term.
Post-term restrictions include a two-year covenant against involvement in a defined Competitive Business at the former site, within one mile of the former Store, or within one mile of another Red Mango Store, subject to applicable state law. Mediation is generally in the city of Red Mango FC, LLC’s principal office, and other proceedings are generally in Dallas County, Texas.
