What does the 2026 Item 19 actually disclose?

Officially, it discloses no sales, profit, cash flow, EBITDA, net income, owner compensation, or other financial performance result. That means there is no same-brand average unit volume, median sales figure, earnings distribution, reporting sample, mature-outlet cohort, or percentage-achieving threshold from which to calculate owner income.

Item 19 states that Michelin Retread Technologies, Inc. does not make representations about future franchisee performance or past performance of franchised or company-owned outlets. Item 1 also says the franchisor does not own or operate Service Centers, so there is no company-operated economics proxy. The Federal Trade Commission’s franchise buyer guidance explains that franchisors are not required to provide earnings claims, but any claim they do make generally belongs in Item 19 and should have written substantiation.

The $2.115 million figure used below is an external industry sales benchmark per employer establishment. It is not Michelin Commercial Service Network revenue, not per-owner income, and not evidence that a Service Center will reach that sales level.

The official structure is a commercial truck fleet service business with substantial variation in facilities, equipment, inventory, and services. The MCSN Service System can include emergency road service, tire and wheel supply, repair and maintenance, alignment, balancing, wheel refurbishing, mounted-wheel delivery, fleet inspection, secured storage, tire and retread asset management, reporting, and light mechanical or industrial services.

The FDD recommends premises of at least 5,000 square feet depending on the Service Center type and discloses a very wide initial-investment range of $189,000 to $4,252,500. That spread signals that a small service operation and a large, equipment-intensive commercial tire center may have materially different revenue capacity and cost structures. What is included in the earnings definition?

The scenario is pre-tax and unit-level, but it is not a clean EBITDA measure. The IRS Schedule C net-income benchmark is after reported business deductions, which can include interest and depreciation. The owner’s personal income taxes and financing principal payments are excluded. Capital expenditure is not deducted directly, although depreciation may be reflected in the IRS benchmark.
