The franchisee controls the local enterprise and employment relationship; the franchisor defines the System and monitors compliance; affiliates and approved vendors supply equipment, software and other operating inputs.

Which operating systems and suppliers are mandatory?
The studio is not technology-neutral or supplier-neutral. Core workout equipment, branded products, POS, CRM, accounting, access, marketing and reporting must follow designated platforms, specifications and approved-vendor rules.

What does the franchisor control, and what remains with the franchisee?
HOTWORX controls the customer promise and the operating rails; the franchisee controls local execution inside those rails and bears responsibility for the independent business, employees and legal compliance.

The local advertising mechanism is unusually prescriptive: the agreement requires 10% of gross revenue or $2,000 monthly, whichever is greater, with a reduction to 5% after NET EFT reaches $30,000 and a reversion if it falls below that level. That spending must follow the franchisor’s approved system and includes specified marketing platforms.

How protected is the market, and where may the studio sell?
The franchise receives a Protected Territory for another HOTWORX studio, but not an exclusive territory, exclusive marketing rights, e-commerce rights or protection from affiliates, alternative brands and other distribution channels.
The Protected Territory is generally centered on the Approved Location. A radius may range from 0.3 to 1.9 miles in dense areas or be 2.0 miles elsewhere, subject to site variables and exclusions such as state lines, waterways, highways, malls, athletic facilities, residences, resorts and airports. Direct solicitation outside the territory is generally restricted; indirect internet, social, email and electronic marketing is permitted, while daily-deal platforms are prohibited.
HOTWORX, its affiliates, licensees and designees may sell products through clubs, spas, stores, hotels, resorts, the internet, mail order and other direct channels inside the Protected Territory without compensating the studio. Planet Beach and SOL SPA outlets may also offer similar products or services there.

What does Item 20 show about the operating network?
At December 31, 2025, the U.S. system contained 812 outlets: 797 franchised and 15 company-owned. The network is overwhelmingly franchisee-run, while HOTWORX Franchising, LLC retains a small company-owned population.
Item 20 also shows total U.S. outlets rising from 582 at year-end 2023 to 719 in 2024 and 812 in 2025. The 2025 net increase was 93 outlets.

The FDD defines the control structure but does not publish the current Operational Systems Checklist, exact universal staffed hours, required employee headcount, shift pattern or role-by-role labor allocation.

The strongest dependency is the franchisor-controlled stack of HWX equipment, HOT TECH POS, SAIL, QuickBooks Online, Virtual Instructor software, approved marketing platforms and data access. The most important boundary is that a Protected Territory does not create exclusive channels or e-commerce rights. The largest verification gap is the current staffed-hours and labor model contained outside the public FDD text.
